The investment licence is the foreign investor's first gateway into the Kingdom, and it precedes the commercial register rather than following it. The most expensive error we see is attempting to incorporate first and look for the licence afterwards, or signing a lease and hiring staff before confirming that the activity is open to foreign ownership at all.

    A lease or employment contract in the name of an entity that does not yet exist creates obligations that cannot be performed.

    The leading cause of suspended files. Attestation is completed in the home country before filing, not after.

  3. A general or imprecise activity description

    This leads to refusal, or to a licence that does not cover your real business and needs amendment later.

  4. Neglecting post-licensing obligations

    Renewal and reporting are not optional, and omissions surface at the first renewal or government interaction.

How the procedure runs, step by step

The MISA licence is the foreign investor’s first gate, and what delays it is rarely the decision: it is attestation of the parent company’s documents.

  1. Confirm the activity is eligible

    We check the activity against the excluded activities list and the ownership requirements. The answer here decides whether the project is possible with full foreign ownership or needs a Saudi partner, and everything else follows from it.

  2. Select the licence type and its requirements

    Service, trading, industrial, regional headquarters, or a temporary foreign entity licence. Some types require a set capital or parent-company experience in other markets, and it is best confirmed before assembling documents.

  3. Attest the parent company documents

    The commercial register and financial statements are attested by the chamber of commerce and the Saudi embassy in the home country. This is the longest stage and can run in parallel with the rest of the preparation.

  4. File and manage the comments

    The application is filed electronically and the Ministry’s comments are worked through. Answering with a document that matches the specific comment is faster than resubmitting the whole file.

  5. After the licence

    Commercial registration, the constitution, tax and GOSI registrations, and visas. The licence alone does not confer the right to operate, and tracking renewal and its conditions is what keeps it valid.

What documents are needed from the parent company?

Commercial register, constitutional documents, financial statements, the investment resolution and the signatory's authority, attested as required in the home country. We review them before filing, because missing attestation is the leading cause of suspension.

How long does the licence take to issue?

Once attested documents are complete, processing usually takes weeks. In practice the longest part is preparing and attesting documents in the home country, which is outside any local firm's control.

Is full ownership possible?

What are the capital requirements?

They vary by licence type and activity; some activities impose defined thresholds and others do not. We establish what applies before the file is prepared so the structure is not built on a wrong assumption.

What happens after the licence issues?

Incorporation and issue of the commercial register, then the follow-on registrations: social insurance, labour platforms, zakat and tax, and municipal or sector licences depending on the activity.

Can the activity be amended later?

Yes, by applying to amend the licence. What matters is not starting an unlisted activity before the amendment, because that is a violation affecting the licence itself at renewal.

What are the renewal obligations?

Periodic renewal, submitting any required reports, and staying within the licensed scope of activity. We hand you a schedule of dates and continuing obligations when the licence is delivered.
